Data Processing Addendum
Effective date: October 11, 2026. This Addendum is part of the EzClip Terms for business customers.
This Addendum forms part of the EzClip Terms when a business customer provides personal information for EzClip to process on that customer’s behalf. “Customer Data” means that personal information. The customer is the controller or business; Rafael Guzman, doing business as EzClip, acts as its processor, service provider or contractor, as applicable. Each party remains responsible for information it processes for its own purposes.
The customer instructs EzClip to receive, store, analyze and transform authorized briefs, scripts, images, logos, product materials and feedback to create, review and deliver requested videos, provide support and secure the service. Processing continues for the service period and the deletion periods in the Privacy Policy. Data subjects may include the customer’s personnel and individuals lawfully identified in supplied materials. Data may include business contact information, authorized text/images, scripts, approvals and feedback; customers must not submit unsupported sensitive data or another person’s face or voice. Account, billing, security and support information used for EzClip’s own administration is governed by the Privacy Policy. Self-cloning and regulated sensitive-data processing are not supported at launch.
EzClip will process Customer Data only on documented instructions to provide the specified services or as required by law. EzClip will not sell or share Customer Data, use it for cross-context behavioral advertising, train foundation models on it, retain, use or disclose it outside the specified business purposes and direct business relationship, or combine it with other identifiable customer data except as applicable law permits for the specified services. Cross-customer improvement uses only properly de-identified aggregate statistics subject to non-reidentification safeguards. EzClip certifies that it understands and will comply with these restrictions. It will notify the customer if it determines it can no longer meet them and cooperate in stopping and remedying unauthorized processing. Permitted subprocessors are subject to corresponding restrictions.
Customer-specific personalization and quality checks remain subject to these instructions and restrictions. Independently developing EzClip’s service does not authorize reuse of identifiable Customer Data outside the stated processing purposes.
EzClip will limit access to authorized people with confidentiality duties and maintain reasonable administrative, technical and organizational safeguards appropriate to the information, including access control, secure transmission, tenant separation, credential protection and incident-response procedures. EzClip will notify the customer without undue delay after becoming aware of a security incident affecting Customer Data and provide available information reasonably needed for the customer’s legal duties. EzClip will not delay a required notice merely because every detail is not yet known.
The customer authorizes providers in the current Subprocessor List for their stated services. EzClip will impose appropriate written data-protection obligations and remains responsible for its subprocessors’ performance of this Addendum. EzClip will give at least 30 days’ notice before an additional or replacement subprocessor receives Customer Data. The customer may object during that period on reasonable data-protection grounds. The parties will seek a reasonable alternative; if none is available, the customer may end the affected service before the transfer and receive a refund of prepaid fees for unused affected service.
EzClip will reasonably assist with individual rights requests, required privacy assessments, incident response and regulatory inquiries concerning Customer Data. EzClip will provide information reasonably necessary to demonstrate compliance and permit proportionate assessments or audits, using existing independent reports where sufficient and safeguards for other customers’ information. The customer may take reasonable steps to ensure that processing is consistent with its obligations and, upon notice, to stop and remedy unauthorized use. Nothing restricts a regulator’s lawful powers.
The customer may download delivered videos during the service and request a copy of other accessible Customer Data. On an authenticated deletion instruction or service termination requiring deletion, EzClip will delete Customer Data from active systems within 30 days and direct its subprocessors to complete corresponding deletion within that period, except for narrowly limited records required by law. Restricted backup copies expire within the Privacy Policy’s schedule; deletion will be reapplied on restoration. EzClip will explain lawful retention exceptions and applicable expiry. This Addendum continues to protect retained data.
This Addendum controls a conflict with the Terms concerning Customer Data processing. Nothing limits a data subject’s rights or a party’s obligations under applicable privacy law.
